These Terms of Sale ("Terms") govern your use of the ShopItUp platform at shopitup.ca, including its marketplace (the "Platform"), as a buyer, and any purchase you make from a seller on it (each, a "Store").
The Platform is operated by 2837675 Alberta Inc., an Alberta corporation carrying on business as ShopItUp, with its registered office at 5-5034 49 Street, Olds, Alberta T4H 1H3 ("ShopItUp," "we," "us," "our").
ShopItUp Inc., a Delaware corporation, is a separate company that operates the ShopItUp marketplace in the United States under its own terms. ShopItUp Inc. is not a party to these Terms or to any transaction on the Platform.
The following documents form part of these Terms:
If these Terms conflict with the Terms of Service, these Terms prevail for purchases.
Acceptance. You accept these Terms by checking the box (or clicking the button) indicating your agreement when you create an account or place an order. If you do not agree, do not use the Platform. You agree that these Terms and your orders may be formed, signed, and delivered electronically.
The Platform is available only to buyers and Stores located in Canada, and all prices are in Canadian dollars. Orders can be shipped only to addresses in Canada. Users located in the United States should use the ShopItUp marketplace operated by ShopItUp Inc.
Orders can be delivered anywhere in Canada, including the Province of Quebec. A French-language version of this document is being prepared. In the meantime, this English version applies to the extent permitted by law. Une version française de ce document est en cours de préparation.
You must be at least the age of majority in your province or territory to place an order or create an account. You agree to provide accurate and complete information and to keep it up to date.
If you create an account, you are responsible for keeping your password confidential and for activity under your account. Tell us promptly at support@shopitup.ca if you believe your account has been used without your permission.
ShopItUp provides an online marketplace, acts as each Store's limited agent to receive payment (Section 7), and, where a Store chooses, arranges shipping labels (Section 9).
ShopItUp does not own, sell, or take title to any item listed on the Platform. Each Store is an independent business and the seller of the items it lists. When you buy an item, your contract of sale is between you and the Store.
Each Store's legal name, business address, and telephone number are shown on its Store page and at checkout. ShopItUp does not pre-screen listings, verify the identity or qualifications of Stores, or inspect items, and does not guarantee the quality, safety, legality, or accuracy of any listing.
Stores are responsible for their listings, including descriptions, photos, availability, and prices.
Before you place an order, checkout will show:
ShopItUp does not charge buyers any fees. Any other mandatory charge will be included in the price displayed for an item.
If an item is listed at an obviously incorrect price because of an error, the Store or ShopItUp may cancel the order and give you a full refund (Section 6).
Placing an order. Placing an order is an offer to buy the items in your cart on these Terms.
Acceptance. Your order is accepted when we send you an order confirmation by email. The confirmation will include the Store's details, the items ordered, the total price, the delivery or pickup arrangements, and the Store's Return Policy. Keep it for your records.
Cancellation by the Store or ShopItUp. The Store or ShopItUp may cancel an order before it ships, for example if an item is out of stock, mispriced, suspected to be fraudulent, or removed under Section 12. If this happens, you will receive a full refund.
Late shipment. If a Store does not ship your order, or make it available for pickup, within 7 days after confirmation, ShopItUp may cancel your order and give you a full refund. You can ask us to cancel it by contacting support@shopitup.ca with your order number.
Refund timing. Refunds for cancelled orders are issued to your original payment method within 15 days of cancellation. Your card issuer may take additional time to post the refund.
Your cancellation rights. Nothing in these Terms limits any right you have under consumer protection law to cancel an order, including where required disclosures were not provided or goods were not delivered within the time required by law.
(a) Authorisation. You may allow an AI assistant or other software agent ("Agent") that you have connected to your ShopItUp account to place orders for you. You do this by setting a per-order spending limit and a 30-day spending limit in your account and saving a payment card. Until you set both limits above $0, no Agent can place an order for you.
(b) Your responsibility. An order an Agent or a Price Watch places within your limits is your order, made on your behalf and with your authority, as if you had placed it yourself. These Terms, the Store's Return Policy and our policies apply to it in the same way. You are responsible for the Agents you connect and the instructions you give them.
(c) Cancelling. For each order placed by an Agent or a Price Watch, we place a hold on your saved card for the order total and email you a copy of the order with a link to cancel it. You may cancel within 24 hours of the order; the hold is then released and your card is not charged. If you do not cancel, we charge your card 24 hours after the order and the Store ships it; after that, the Store's return policy applies.
(c.1) Limits and control. We will refuse any Agent order that would exceed either limit, or that is placed while you have paused Agent purchases. You may lower, pause or remove your limits, or disconnect an Agent, at any time in your account; changes apply to orders placed after the change. We keep a record of every change to your limits and of each Agent order, including the Agent that placed it.
(d) Payment. By setting your limits you authorise ShopItUp to place a hold on your saved card for each Agent or Price Watch order within them, and to charge it 24 hours later, without you being present. If your bank requires you to confirm, we will not place the order; the Agent will give you a link to complete it yourself. If the item sells elsewhere before we charge your card, we release the hold, cancel the order and tell you.
(e) Stores. Only Stores that have chosen to accept Agent orders can be bought from this way. Each order is still sold by the Store named on it, through ShopItUp as described in Section 4.
(f) Notices. We will email you each time an Agent places an order for you and each time your limits change. If you did not authorise an order, contact us promptly at support@shopitup.ca; we will look into it under Section 11.
(g) Price watches. You may ask us — yourself, or through an Agent — to buy a specific item for you if its price drops to an amount you choose, within a total you choose and within your limits ("Price Watch"). A Price Watch is your standing instruction to ShopItUp to place that order for you when the condition is met, without asking you again. It lasts until it is fulfilled, cancelled by you, or expires (at most 30 days). A Price Watch does not reserve an item before it buys; if it sells to someone else first, the Price Watch ends and we tell you. Once it buys, the item is held for you while your card is on hold.
(h) Quebec. Agent and Price Watch purchases are not available for orders shipping to an address in Quebec.
Stripe. Payments are processed by our payment processor, Stripe Payments Canada, Ltd. ("Stripe"). You authorize Stripe, on our instruction, to charge your payment method for the total shown at checkout.
ShopItUp as the Store's payment agent. Each Store appoints ShopItUp as its limited agent solely to receive payment from buyers. Your payment through the Platform fully satisfies your obligation to pay the Store for your order, as if you had paid the Store directly.
Payment disputes. If you believe you were charged incorrectly, please contact us at support@shopitup.ca so we can try to resolve it quickly. This does not affect any right you have to ask your card issuer to reverse a charge.
Applicable GST/HST and provincial sales taxes are calculated at checkout and included in your order total. Depending on the Store and applicable law, these taxes are collected and remitted either:
Your order confirmation will identify the tax collected and the registration number of the party collecting it.
Estimates only. Delivery dates shown at checkout are estimates. Some Stores offer in-store pickup instead of shipping.
ShopItUp Shipping Service. Where a Store uses the ShopItUp Shipping Service, ShopItUp only arranges a shipping label and tracking as a service to the Store. The carrier is responsible for transportation.
What you pay for shipping. The shipping charge shown at checkout is the amount you pay. Where ShopItUp buys the label, that charge may include a service charge above the carrier's own price. There is no separate or later shipping charge.
The Store remains responsible for:
Risk of loss. Unless applicable law provides otherwise, the Store bears the risk of loss of or damage to an item until it is delivered to the address you provided or collected by you at pickup.
Lost or damaged items. Report lost or damaged items to the Store, which is responsible for resolving them under its Return Policy and applicable law.
See the Shipping Policy for more details.
Store Return Policies. Each Store sets its own Return Policy, which is shown on the Store's page and at checkout. ShopItUp is not the seller and does not have its own return policy. Whether a return or refund is granted is determined by the Store's Return Policy, except where consumer protection law gives you greater rights. Nothing in a Store's Return Policy or these Terms limits those rights.
How to request a return. Contact the Store using the details in your order confirmation or on the Store's page.
How refunds are paid. Refunds approved by a Store are paid to your original payment method. ShopItUp issues the refund on the Store's behalf from funds available to the Store, and is not otherwise responsible for funding refunds except where required by law.
If you have a problem with an order, contact the Store first. If you cannot resolve it within a reasonable time, contact us at support@shopitup.ca with your order number.
We may, at our discretion, help facilitate a resolution, for example by contacting the Store or, where our policies allow, issuing a refund from the Store's funds. We are not a party to your contract with the Store and are not obliged to resolve the dispute.
How to report. If you believe a listing is counterfeit, infringes intellectual property rights, is unsafe or subject to a recall, or otherwise breaks our policies, email support@shopitup.ca with the subject line "Listing report". Our Listing Reporting and Copyright Notice Policy explains what to include and what we do with your report.
Copyright notices. Notices of claimed copyright infringement must include the information required by section 41.25 of the Copyright Act (Canada). We handle them in accordance with that Act, including forwarding them to the affected Store.
Our rights. ShopItUp may, at its discretion and without liability to you:
in response to reports, as required by law, or where we believe our policies have been breached. ShopItUp does not pre-screen listings and is not responsible for their content.
If you post reviews, questions, photos, or other content ("Your Content"), it must be accurate, lawful, and your own. You grant ShopItUp a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, and distribute Your Content in connection with operating and promoting the Platform.
We may remove Your Content that we believe breaks these Terms.
You agree not to:
We may suspend or close your account if you breach these Terms.
The Platform is provided "as is" and "as available." To the fullest extent permitted by law, ShopItUp makes no representation, warranty, or condition about the Platform, any Store, any listing, or any item, and disclaims all implied warranties and conditions.
Warranties and conditions for an item are given by the Store that sells it, as required by law.
To the fullest extent permitted by law:
(a) ShopItUp, its affiliates, and their respective directors, officers, employees, and agents (the "ShopItUp Parties") are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or relating to the Platform or any order; and
(b) the ShopItUp Parties' total liability arising from or relating to any order is limited to the amount you paid for that order.
Nothing in these Terms excludes or limits any right or remedy you have under consumer protection legislation that cannot lawfully be excluded or limited.
Informal resolution first. If you have a dispute with ShopItUp, please contact us first at support@shopitup.ca so we can try to resolve it informally within 30 days.
Governing law. These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there.
Courts. You and ShopItUp submit to the non-exclusive jurisdiction of the courts of Alberta. Nothing in these Terms prevents you from:
We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on the Platform before they take effect. Changes apply only to orders placed after the effective date. The Terms in effect when you placed an order continue to apply to that order.
You agree that we and Stores may send you notices, order confirmations, receipts, and other service messages electronically. Marketing messages are sent only with your consent, as described in our Privacy Policy.
